The discussion of specific examples of international differences in the regulatory environment of corporate finance (such as contract law, property law and security interest law, capital markets law, insolvency law and restructuring law) will allow for the construction of an optimized “corporate finance law” consisting of legal rules from different jurisdictions which, in their entirety, undermine the regulatory objectives of the national legal systems from which they originate.
